Terms of use

1. Purpose
These general terms of use (hereinafter the "Terms") govern access to and use of the SkaLean platform, published by SkaLean Inc., a corporation incorporated under the Canada Business Corporations Act.
2. Definitions
- Service: the SkaLean platform and all features offered thereon.
- User: any natural person with access to the Service.
- Client: any legal or natural person holding a subscription to the Service.
- Content: any text, image, data, document or file created, imported or generated via the Service.
- Data: all information processed in connection with the use of the Service.
3. Acceptance of terms
Access to and use of the Service implies full and unconditional acceptance of these Terms. If you do not accept these Terms, you must not use the Service.
4. Description of service
SkaLean is an artificial intelligence as a service (AI-aaS) platform designed for small and medium-sized businesses. It includes the following modules:
- AI Studio: creation and training of custom AI models from your documents and data.
- AI Automation: design and execution of automated workflows integrating artificial intelligence.
- AI Assistant: intelligent conversational assistant deployable across your communication channels.
5. Registration and account
Access to the Service requires the creation of a client workspace, configured by SkaLean during the onboarding phase. Each User receives personal and confidential login credentials.
The User is responsible for the confidentiality of their credentials and all activity carried out via their account. In the event of unauthorized use, the User must notify SkaLean without delay.
6. Client obligations
The Client agrees to:
- Use the Service in accordance with these Terms and applicable laws
- Not import, store or distribute any unlawful, defamatory, discriminatory or third-party rights-infringing content
- Not attempt to circumvent the security measures of the Service
- Not engage in reverse engineering, decompilation or disassembly of the Service
- Not use the Service for competitive purposes aimed at reproducing its features
7. SkaLean obligations
SkaLean agrees to:
- Provide the Service with a reasonable level of availability consistent with industry standards
- Provide technical support by email during business hours
- Implement appropriate security and confidentiality measures to protect Client data
- Notify the Client of any planned Service interruption within a reasonable timeframe
8. Intellectual property
The SkaLean platform, including its source code, interface, algorithms, documentation and trademarks, is the exclusive property of SkaLean Inc. The subscription to the Service does not confer any intellectual property right to the Client over the platform.
Data imported or created by the Client via the Service remains the exclusive property of the Client. SkaLean makes no claim of ownership over Client Content.
9. Data and confidentiality
The processing of personal data is governed by our Privacy policy, which forms an integral part of these Terms.
SkaLean undertakes not to access Client data except in cases of technical necessity (maintenance, support requested by the Client) and to never use Client data for commercial purposes or model training without explicit consent.
10. Pricing and payment
Access to the Service is subject to a monthly subscription. Payments are processed via Stripe. No minimum commitment period is required.
Prices are listed on the Pricing page and are subject to change. Any pricing change will be communicated to the Client with 30 days' notice. The Client may cancel their subscription if they do not accept the new pricing.
11. Term and termination
The subscription to the Service is entered into for an indefinite period. The Client may cancel their subscription at any time. Cancellation takes effect at the end of the current month.
Upon termination, the Client has 30 days to export their data using the tools available on the platform. After this period, the data will be deleted.
SkaLean reserves the right to suspend or terminate access to the Service in the event of a breach of these Terms, after formal notice has remained without effect for 15 days.
12. Limitation of liability
SkaLean shall not be liable for any indirect, incidental, special or consequential damages arising from the use of or inability to use the Service, including loss of data, loss of revenue or business interruption.
SkaLean's total liability, for all causes combined, is limited to the amounts actually paid by the Client during the 12 months preceding the event giving rise to liability.
13. Force majeure
SkaLean shall not be liable for failure to perform its obligations in the event of a force majeure event, as defined by the Civil Code of Quebec, including natural disasters, network outages, exceptional cyberattacks, government decisions or any other unforeseeable, irresistible and external event.
14. Applicable law and jurisdiction
These Terms are governed by Canadian law and, more specifically, by the laws of the province of Quebec. Any dispute relating to the interpretation or performance of these Terms shall be submitted to the exclusive jurisdiction of the courts of Montreal, Quebec, Canada.
15. Modifications to terms
SkaLean reserves the right to modify these Terms at any time. Modifications will be communicated to the Client with 30 days' notice by email or by notification within the platform.
Continued use of the Service after the modifications take effect constitutes acceptance of the new Terms.
